By engaging Miano Software Solutions for any service, accessing our website or signing a project agreement, you agree to be bound by these Terms of Service. If you do not agree, please do not use our services.
Miano Software Solutions provides custom software development, Tally ERP solutions, eTIMS integration, M-Pesa integration, website development, mobile app development, SEO, cloud hosting, cybersecurity and Annual Maintenance Contracts. The specific scope, deliverables and timeline for each engagement are defined in a separate Project Agreement or Statement of Work (SOW).
Standard payment structure: 40% deposit upon project commencement, 40% at agreed milestone, 20% upon final delivery. All payments are due within 7 days of invoice. Late payments attract 2% interest per month. We reserve the right to suspend work on accounts with overdue invoices exceeding 30 days.
Upon full payment of all project fees, the client receives full ownership of all custom code, designs and deliverables created specifically for their project. Miano Software Solutions retains ownership of pre-existing frameworks, libraries and reusable components. We reserve the right to reference the project in our portfolio unless the client requests confidentiality in writing.
We warrant that all software will be free from material defects for 90 days post-delivery (or the period specified in the project agreement). Our total liability for any claim shall not exceed the total fees paid for the specific project giving rise to the claim. We are not liable for indirect, consequential or incidental damages.
Both parties agree to keep confidential all non-public information shared during the engagement. This obligation survives termination of the agreement for a period of three years.
These Terms are governed by the laws of the Republic of Kenya. Any disputes shall be subject to the jurisdiction of the Kenyan courts, with Nairobi as the agreed venue for dispute resolution.
